General Terms and Conditions (GTC) – Apdis GmbH

1. Scope of Application

These General Terms and Conditions (GTC) apply to all orders, contracts and deliveries made through the online shops of Apdis GmbH (hereinafter “Apdis”).

By placing an order, the customer agrees to these GTC. Any conflicting customer terms shall not apply unless expressly accepted in writing by Apdis.

2. Offers and Conclusion of Contract

  • The presentation of products in the online shop does not constitute a legally binding offer, but a non-binding invitation to place an order (invitatio ad offerendum).

  • A contract is concluded once Apdis confirms the order in writing (e.g. by e-mail) or dispatches the goods.

  • Apdis reserves the right to reject orders without stating reasons.

  • Prices and product assortments may be changed at any time.

  • Obvious errors relating to prices, stock availability or product descriptions (e.g. typographical or technical errors) entitle Apdis to withdraw from the contract.

3. Prices and Shipping

  • All prices are stated in Swiss francs (CHF), including statutory VAT, excluding shipping costs unless otherwise stated.

  • Orders for stock items received on working days before 4:00 p.m. are generally shipped the same day.

  • Delivery times of Swiss Post (Priority / Economy) shall apply.

  • In the event of specially procured items or supplier delays, the customer will be informed as soon as possible.

  • Claims for damages due to delayed delivery are excluded to the extent permitted by law.

4. Payment Terms, Credit Checks and Collection Procedures

4.1 Payment Methods

Apdis offers in particular the following payment methods:

  • invoice purchase

  • credit card (Visa/Mastercard)

  • TWINT

  • advance payment

  • additional payment methods displayed during checkout

Apdis reserves the right to exclude certain payment methods without giving reasons.

4.2 Credit Check

If the customer selects payment by invoice, the customer agrees that Apdis may transmit personal data to external service providers or credit agencies (in particular Creditreform or CRIF AG) for identity and creditworthiness checks.

4.3 Late Payment and Reminder Fees

After expiry of the payment deadline, the customer is automatically in default without further reminder.

Apdis may, at its own discretion, send a free payment reminder.

From the second reminder onwards, an administrative fee of CHF 20.– per reminder may be charged.

In addition, default interest and further collection costs may be claimed. Further statutory claims remain reserved.

4.4 Debt Collection

If reminder procedures remain unsuccessful, Apdis may assign or transfer outstanding claims to debt collection agencies.

The customer shall bear all resulting costs, fees and default interest within the limits of applicable law and in accordance with the tariffs of the Swiss Association of Debt Collection Trustees (VSI).

5. Delivery and Acceptance Default

  • Apdis is entitled to make partial deliveries insofar as this is reasonable for the customer. Subsequent deliveries shall be free of shipping costs.

  • If delivery cannot be completed due to incorrect address details, failure to collect the parcel or refusal of acceptance, Apdis is entitled to charge the resulting shipping, return and handling costs as well as an appropriate administrative fee (minimum CHF 30.–).

6. Transfer of Risk

Risk and benefit pass to the customer upon delivery of the goods.

Delivery shall include personal handover or documented delivery by the shipping provider. This also applies to deliveries deposited in mailboxes, parcel boxes or other delivery locations designated or accepted by the customer.

The customer bears the risk of theft or loss after documented delivery.

In the event of externally visible transport damage, the customer shall, where possible, obtain confirmation from the delivery service and report the damage to Apdis in writing within 5 working days.

7. Inspection Obligation and Notice of Defects

The customer must inspect the goods immediately upon receipt.

Obvious defects, missing quantities or incorrect deliveries must be reported in writing within 5 working days. In the event of transport damage, meaningful photographs should be provided where possible.

After expiry of this period, the delivery shall be deemed approved unless hidden defects are involved.

8. Return Policy and Conditions

8.1 Voluntary Right of Return

Apdis grants a voluntary right of return for 14 days from receipt of the goods.

Returns are accepted only if the goods are:

  • unused

  • complete

  • in undamaged original packaging

  • in resalable condition

8.2 Exclusions from the Right of Return

The following are excluded from return rights in particular:

  • specially procured or individually ordered items (non-stock items)

  • opened or unsealed consumables

  • used or damaged products

  • items with damaged or marked original packaging

8.3 Credit Note Schedule (Stock Items)

For returned and resalable stock items, the following credit notes may be granted depending on the delivery date and condition of the goods:

  • up to 1 month after delivery: up to 100% of the purchase price

  • up to 3 months after delivery: up to 70% of the purchase price

  • up to 6 months after delivery: up to 50% of the purchase price

  • up to 9 months after delivery: up to 30% of the purchase price

  • after 9 months: no credit note possible

The final amount of the credit note shall be determined by Apdis after inspection of the goods.

Return shipping costs are generally borne by the customer.

9. Retention of Title

Delivered goods remain the property of Apdis GmbH until all outstanding claims have been paid in full.

Apdis is entitled to register the retention of title accordingly.

10. Warranty and Liability

The statutory warranty provisions of Swiss law shall apply.

Apdis fulfils warranty claims at its own discretion, in particular through:

  • repair

  • replacement delivery

  • price reduction

  • credit note

The warranty excludes in particular:

  • wear parts

  • damage caused by improper use

  • normal wear and tear

  • external influences

  • interventions or repairs by the customer or third parties

To the extent permitted by law, liability for slight negligence, indirect damages, consequential damages, data loss or loss of profit is excluded.

Liability for intent and gross negligence remains reserved.

11. Data Protection

Personal data is processed in accordance with the separate privacy policy of Apdis GmbH and in compliance with Swiss data protection legislation.

12. Jurisdiction and Applicable Law

All legal relationships shall be governed exclusively by Swiss law.

The place of jurisdiction for all disputes is the registered office of Apdis GmbH in Muttenz BL, unless mandatory statutory provisions provide otherwise.
